• "You / User" refers to any individual or organisation accessing this website or engaging our services.
• "Services" refers to the AI consulting engagements described on this website: Automation Audit, NLP Solutions, and AI Strategy Roadmap.
• "Agreement" refers to these Terms & Conditions and any statement of work executed between the parties.
• "Deliverable" refers to any written report, model, documentation, or other output produced during a service engagement.

2. Acceptance of Terms

By accessing this website or submitting a contact form enquiry, you agree to be bound by these Terms & Conditions. Engagement of our services is also subject to a separate written statement of work, which will govern in the event of any conflict with these terms. You must be at least 18 years old and have the legal capacity to enter into a binding agreement on behalf of yourself or your organisation.

3. Services

Orithen provides AI consulting services in Bangkok, Thailand. Service availability, scope, and deliverables are defined in individual statements of work. We reserve the right to decline any engagement that we determine is outside our capability or conflicts with our professional standards. Geographic restrictions may apply to certain service formats.

4. User Responsibilities

You agree to:

Deliverables produced during a service engagement are transferred to the client upon full payment, as specified in the relevant statement of work. Orithen retains the right to reference the general nature of engagements (without disclosing confidential details) for the purposes of illustrating its capabilities.

6. Payment Terms

Service fees are fixed and specified in the written statement of work prior to commencement. Pricing is denominated in Thai Baht (฿). Payment terms, schedules, and accepted methods are outlined in each individual agreement. Work will not commence until payment terms have been agreed in writing. We do not charge for initial scoping conversations.

7. Service Delivery

Timelines and deliverables are specified in the statement of work. We will notify you promptly if circumstances outside our control are likely to affect delivery timelines. Significant changes to scope requested after work has commenced may result in revised timelines and fees, subject to written agreement by both parties.

8. Confidentiality

Client engagement data is handled under a mutual non-disclosure agreement signed prior to commencement. We do not share, sell, or use client data for the benefit of other engagements. All confidentiality obligations survive the termination of the engagement unless otherwise specified.

9. Disclaimers

Our services and website are provided in good faith. We do not warrant that AI solutions will produce specific operational outcomes, as results depend on factors including data quality, organisational capacity, and implementation decisions made by the client. Nothing in our deliverables constitutes legal, financial, or regulatory advice. We recommend seeking appropriate professional guidance for decisions in those areas.

10. Limitation of Liability

To the maximum extent permitted by Thai law, Orithen's aggregate liability for any claim arising from our services shall not exceed the total fees paid by the client for the specific engagement to which the claim relates. We are not liable for indirect, consequential, or incidental losses, including loss of profits or data, arising from use of our services or website.

11. Indemnification

You agree to indemnify and hold Orithen harmless from any claims, damages, or expenses arising from your misuse of this website, your breach of these Terms, or any inaccurate information you provide during the course of an engagement.

12. Termination

Either party may terminate a service engagement in accordance with the terms of the relevant statement of work. Orithen reserves the right to suspend or terminate access to this website where there is evidence of misuse. Upon termination of an engagement, client data will be returned or deleted as specified in the data processing agreement.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Kingdom of Thailand. Any disputes arising from these Terms or from a service engagement shall first be addressed through good-faith negotiation between the parties. If resolution is not achieved within 30 days, disputes shall be referred to the jurisdiction of the courts of Bangkok, Thailand.

14. General Provisions

• Entire Agreement: These Terms, together with any executed statement of work, constitute the entire agreement between the parties.
• Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
• Waiver: Failure to enforce any provision does not constitute a waiver of our right to enforce it in the future.
• Assignment: You may not assign rights or obligations under these Terms without our written consent.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via this website. The effective date at the top of this page will reflect the most recent revision. Continued use of the website after an update constitutes acceptance.
